Uddom Terms of Use

"Uddom", "we", "us" or "our" means the entity that operates the Platform and provides the services described in these Terms of Use.

The Platform is a crowdfunding marketplace that connects people and organizations who want to raise funds ("Campaign Creators") with people and organizations who want to support them ("Backers").

Uddom provides tools and infrastructure so that Campaign Creators can publish campaigns and Backers can make contributions.

• We are not a bank or financial institution.
• We are not a financial advisor, investment advisor, or legal advisor.
• We are not a party to the contract between a Campaign Creator and a Backer.

Campaigns are created and managed by Campaign Creators, not by Uddom. Campaign Creators are solely responsible for the information they provide, the promises they make, and how they use funds.

Uddom does not guarantee that any campaign will reach its goal, that any project will be completed, or that any reward or return will be delivered.

To use the Platform, you must:

• Be at least 18 years old, or the legal age of majority in your jurisdiction.
• Have the legal capacity to enter into a binding contract.
• Not be prohibited from using similar services under any applicable law.

You are responsible for:

• Keeping your account details secure.
• All activity that happens under your account.
• Informing us promptly if you suspect unauthorized use of your account.

We may refuse registration, close accounts, or restrict access at our discretion, for example when we believe there is a risk of fraud, misuse, or non-compliance with our policies or applicable law.

At this time, Uddom supports:

Uddom may introduce or remove campaign types from time to time.

Campaign Creators must clearly indicate which type of campaign they are running and must not misrepresent the nature of any rewards, returns, or rights offered.

If you create or manage a campaign on Uddom, you agree that you will:

• Provide accurate and complete information about yourself and your organization.
• Explain clearly how funds will be used and set a realistic funding goal.
• Use funds only for the purpose stated in your campaign.
• Comply with all applicable laws, regulations, and any permits or approvals that may be required.
• Comply with our Safety & Compliance policy and Campaign Rules & Prohibited Uses.
• Provide reasonable updates to Backers on progress and use of funds.
• Deliver rewards, products, or equity interests as promised, subject to any terms clearly disclosed on the campaign page.

If you support a campaign on Uddom, you understand and agree that:

• Contributions involve risk, including the risk that the campaign does not reach its goal, the project is delayed or cancelled, or rewards or returns are not delivered.
• Uddom does not guarantee the performance of any Campaign Creator or project.
• You must make your own judgment about whether to support a campaign and in what amount.
• For equity campaigns, you may be required to sign additional agreements and to meet eligibility conditions under applicable law.
• Except where required by law or expressly stated on the Platform, contributions are not refundable.

You must not use the Platform for any activity that:

• Is illegal or violates any applicable law or regulation.
• Promotes violence, hatred, discrimination, or harassment.
• Supports terrorism, extremism, or money laundering.
• Involves weapons, illegal drugs, or restricted goods.
• Intends to deceive Backers about the use of funds, rewards, or returns.
• Misuses personal stories, medical cases, or emergencies without consent.
• Infringes the intellectual property or privacy rights of others.
• Attempts to bypass or interfere with our safety, fraud, or verification processes.

You remain the owner of the content you submit to Uddom, including text, images, videos, and logos, but by posting content on the Platform you grant Uddom a worldwide, non exclusive, royalty free license to use, reproduce, display, and distribute that content in connection with operating, promoting, and improving the Platform.

You confirm that:

• You have the rights and permissions needed to upload your content.
• Your content does not infringe the rights of any third party.
• You have obtained appropriate consent to share any personal or sensitive information.

The Platform and all related software, design, and trademarks are owned by Uddom or its licensors and are protected by law. You may not copy, modify, or distribute our intellectual property except as expressly allowed by us.

Our use of your personal information is described in our Privacy Policy, which is incorporated into these Terms of Use by reference. By using the Platform, you agree that we can collect and use your information as described in the Privacy Policy.

The Platform may include links to third party websites or services, including payment providers, social networks, and communication tools. These are provided for convenience only.

We do not control and are not responsible for:

• The content or practices of those third party services.
• Any loss or damage arising from your use of them.

Your use of third party services is at your own risk and may be subject to additional terms.

To the maximum extent permitted by law, the Platform and all services are provided on an "as is" and "as available" basis.

We do not make any promises or warranties that:

• The Platform will be error free, secure, or available at all times.
• Campaigns will reach their goals or that Backers will receive rewards or returns.
• Information on the Platform is complete, accurate, or up to date.

You use the Platform at your own risk.

To the maximum extent permitted by law, Uddom, its founders, officers, employees, and partners will not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Any loss of profits, revenue, data, goodwill, or business opportunities.
• Any disputes between Campaign Creators and Backers, or between users and third parties.

You agree to indemnify and hold harmless Uddom, its founders, officers, employees, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

• Your use of the Platform.
• Your campaigns, content, or conduct.
• Your breach of these Terms of Use or of any applicable law.
• Your violation of the rights of any third party.

We may suspend or terminate your access to the Platform, or remove or modify any campaign or content, at any time and for any reason, including if we reasonably believe that:

• You have breached these Terms of Use or other policies.
• Your activity presents a risk of fraud, misuse, or legal exposure.
• We are required to do so by law or by a competent authority.

You may stop using the Platform and close your account at any time. Certain provisions of these Terms of Use will continue to apply after termination, including those relating to intellectual property, limitation of liability, and indemnification.

We may change or update the Platform and these Terms of Use from time to time.

When we make material changes to the Terms of Use, we will post the updated version on the Platform and update the "Last updated" date at the top. Continued use of the Platform after the updated Terms of Use are posted means that you accept the changes.

If you do not agree to the updated Terms of Use, you must stop using the Platform.

Unless another law is required to apply, these Terms of Use and any dispute arising out of or in connection with them will be governed by the laws of Bangladesh, without regard to conflict of law rules.

You agree that courts located in Dhaka, Bangladesh will have exclusive jurisdiction over any such disputes, subject to any mandatory law that provides otherwise.
